Terms of Service

1. Beta / early access

The Service is currently offered as a private beta. It is provided on an "as is" and "as available" basis, may contain errors, and may change, be interrupted, or be discontinued at any time without notice. We make no promise of availability, uptime, or service levels during the beta. Features described on our website may change or may not ship.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. By using the Service you represent that you meet these requirements.

3. Accounts and access

Beta access may be invite-only or limited. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We may grant, limit, suspend, or revoke beta access at our discretion.

4. Your content

You retain all ownership of the content you and your team create or upload, including your activity and decisions ledger, files, and workspace data ("Your Content"). You grant BaseThread a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you, including processing it through our subprocessors (see the Privacy Policy). We do not claim ownership of Your Content and we do not sell it. You are responsible for Your Content and for having the rights to submit it.

Your Content also includes content created, modified, or deleted by AI tools you connect or instruct, acting on your behalf, and content produced by actions you trigger, including destructive ones such as rebuilding a workspace. You are responsible for reviewing what your connected AI tools write or change, and BaseThread is not liable for changes or deletions made by AI tools acting on your instruction.

5. Acceptable use

You agree not to: break the law or infringe others' rights; upload malware or attempt to breach, probe, or disrupt the Service or its security; reverse engineer or resell the Service except as allowed by law; misuse AI features to generate unlawful content; or use the Service to store data you are not permitted to store. We may remove content or suspend accounts that violate this section.

By connecting an external AI tool (such as Claude Code, Cursor, or ChatGPT), you authorize it to read and write your BaseThread context within the permissions you grant, and you are responsible for the tools you connect and their actions. If you connect a data source directly to BaseThread (such as Notion or HubSpot, or your website), you represent that you have the right and authority to connect and share that data with us.

6. Plans, beta access, and payments

Free is available to beta participants at no cost. Team and Enterprise plans are shown on our pricing page and are being rolled out during the beta; access may require a request. When paid plans become available, payments are processed by our payment provider, Paddle, acting as Merchant of Record, and your purchase is also subject to Paddle's buyer terms. Pricing, plans, and limits may change during the beta. Plans are per workspace; personal workspaces are free.

7. Data, backups, and beta caution

Because the Service is in beta, do not use it to store sensitive, regulated, or mission-critical data, and keep your own backups. We take reasonable measures to protect your data (see the Privacy Policy) but we are not responsible for any loss, corruption, or unavailability of data during the beta.

8. Intellectual property

The Service, including its software, design, and the BaseThread name and logo, is owned by BaseThread and protected by law. These Terms grant you a limited, revocable, non-transferable right to use the Service; they do not transfer any of our intellectual property to you.

9. Third-party services

The Service integrates with third-party tools you choose to connect (such as AI clients via MCP) and relies on subprocessors to operate. We are not responsible for third-party services, and your use of them is governed by their terms.

If you connect a data source directly to BaseThread, we access it only to read and distill the context you authorize, and we do not mirror it wholesale; we are not responsible for those sources' accuracy, availability, or terms. If you provide your own AI provider API key, you are responsible for its use, the associated costs, and that provider's terms, and we use it only to process your content.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

AI-generated output, including summaries, decisions, distilled context, and files, may be inaccurate, incomplete, or out of date; review it before relying on it. Do not rely on AI output for legal, financial, medical, employment, or other high-stakes decisions without independent verification.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASETHREAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold BaseThread harmless from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, including for violation of these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive (including content license to the extent needed, disclaimers, limitation of liability, and indemnification) will survive.

Inactive accounts may receive reminders, then be temporarily locked, and then deleted, after reasonable notice to the account email. This applies to individual or solo accounts; if you are a member of an active team workspace, content you contributed stays with that workspace. You can reactivate by signing in until the account is deleted. BaseThread is not liable for data lost to inactivity deletion, so keep your own copies of anything important.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be resolved by binding arbitration on an individual basis, and you and BaseThread waive any right to a jury trial or to participate in a class action, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-use matters. The venue for any permitted court proceeding is Santa Clara County, California. Any claim must be brought within one year after it arises.

16. General

If any part of these Terms is found unenforceable, the rest stays in effect. These Terms are the entire agreement between you and BaseThread about the Service and replace any prior agreements on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service, with no obligation to you.
